BLP advises on acquisition of Global Draw Limited by Scientific Games Corporation

Berwin Leighton Paisner (BLP) has advised US-based Scientific Games Corporation on its purchase of Global Draw Limited, a major supplier of fixed odds betting terminals and systems and interactive sports betting systems, and certain related companies. Scientific Games is the leading integrated supplier of instant tickets, systems and services to lotteries, and the leading supplier of wagering systems and services to pari-mutuel operators. The purchase price comprised initial consideration of $183m, together with an earn out.

The deal bolsters Scientific Games’ position in Europe and will strengthen its role in the worldwide sports betting and video lottery business by further developing its position in the UK and enabling it to enter new markets.

John Bennett, partner and head of corporate, led a BLP team that included corporate finance partner Louise Workman. Hilary Stewart-Jones - who was named “Gaming Lawyer of the Year 2005” by World Online Gambling Law Report, the leading sector publication - led on the regulatory aspects. Senior corporate solicitors working on the project included Theo Jones and Richard Stewart. BLP worked closely with New York alliance partner Kramer Levin, Scientific Games’ US legal counsel.
