We advised the Barchester Group on its £572,000,000 opco/propco securitisation (arranged and lead managed by The Royal Bank of Scotland plc). This transaction was the first care home securitisation in the UK market to achieve a "AAA" rating on a standalone basis (i.e. without zero coupon swap or monoline support). The transaction allowed Barchester to achieve significantly higher leverage than it had previously enjoyed under its whole business structure and to release significant value from its property portfolio. Under the refinancing the opco borrowed £72,000,000 and the propco borrowed £398,000,000 of junior debt in addition to the securitised debt, making over £1bn of debt in aggregate. The transaction involved a sale of 161 care homes (with over 10,000 beds) in England, Jersey and Scotland and a leaseback via three triple net leases (one for each jurisdiction). We fielded a cross departmental team comprising securitisation, derivatives, real estate finance, real estate, corporate and tax lawyers.
