We regularly advise on the formation, structuring, negotiation and marketing of a wide variety of private equity and venture capital funds, as well as the full spectrum of securities and regulatory issues typically associated with such transactions.
Our clients have included a full range of parties associated with funds - promoters, managers, advisers and investors. In addition to general partners, we represent, on a selective basis, institutional investors affecting both strategic and portfolio investment strategies. We also advise fund sponsors with respect to their internal partnerships, co-investment arrangements, incentive plans and personal investments.
We have worked on a wide range of structures for funds formed in the UK, the United States, the Cayman Islands, the Channel Islands, the Isle of Man, the Netherlands and other jurisdictions. Many of the funds with which we have been involved have been innovative either in terms of structure or the investment opportunities that they are seeking to access.
We have advised on funds active in the following spaces: buyout, start ups, business recovery, infrastructure and funds-of-funds. In designing a fund, we are well aware of the types of transaction that may be undertaken during the life of the fund and considerations relating to exit routes and liquidity.
Increasingly, institutional investors are seeking to impose their own requirements on the terms on which these vehicles are established. We are experienced in dealing with those requirements and negotiating with potential investors and their advisers.
