Work in Corporate Tax

We advised Interactive Marketing Works (The IMW Group) on the sale of the company to Pan-European digital marketing company TradeDoubler. The purchase price for The IMW Group was £56m in cash and bank guaranteed loan notes.  The IMW Group is the parent company of  ‘The Search Works’, a well established search engine marketing agency and ‘The Technology Works’, a technology provider for search engine marketing which is in an investment phase.

We acted for K3 Business Technology Group (K3), an AIM-quoted IT solutions provider, on its acquisition of Manchester-based software solutions business, McGuffie Brunton, and related institutional placing through K3's Nomad and broker Daniel Stewart & Co and debt financing with The Royal Bank of Scotland.  The total consideration was £12.5m.

We advised Legal & General on the establishment of a 50:50 joint venture with Mitsubishi Estate Company (“MEC”) which will fund the development of Central Saint Giles.  The development has an end value of approximately £450m.  Central Saint Giles is a mixed-use scheme located on St Giles High Street and within close walking distance to Covent Garden and Soho.  Designed by world class architect Renzo Piano, the development comprises offices, affordable housing and private housing and is to be surrounded by retail and restaurants creating a truly integrated mixed use development.

We advised on the offer for the Europa/Cullens/Harts' chain and on the rebadging of 450 T&S Stores (and on the sale of the Supercigs and newsagent businesses). In addition we acted on numerous individual freehold and leasehold acquisitions for Tesco's Express team. Tesco's programme for the next two years is to open 500 express stores which equates to approximately five a week.

We advised Rocco Forte Hotels on the recently announced sale of The St David’s Hotel & Spa in Cardiff to Principal Hotels for £32.5m.  The Hotel was marketed for sale on the basis that Rocco Forte Hotels would retain a management contract for the Cardiff property (which we were to prepare); however Principal Hotels offered a premium price in order to purchase management rights of the property as part of the transaction.  The sale is due to complete on 5 April 2007.
