We advised fund manager and private equity investor, Octopus Investments, on its £15m buy-out of Bruce Dunlop & Associates (BDA).  BDA provides promotion and design services to broadcasters and advertisers worldwide, and also creates brand films and internal communications for leading UK corporations.  Octopus Investments has taken a minority stake for a £5m investment from its equity and mezzanine funds. As part of the deal Octopus has committed a further £2m funding line to help support the planned international expansion and to make strategic acquisitions.

We advised AsianLogic on its flotation on AIM and related £53.9m fundraising, valuing the company at £122.4m. 

We advised international engineering and project management company, AMEC, on the fourth and final sale of its non-core businesses that make up its Built Environment Division.  The sale of AMEC’s Project Investments business, the management team and eight PFI assets to Land Securities Trillium was completed in November 2007 for a cash consideration of £152.4m, before transaction costs. This sale brings to an end AMEC’s current divestment programme on which we have acted as sole legal adviser.

We advised Almesta Holdings, the Seller, in relation to the disposal of its controlling interest in the Kabongo Development Company (KDC), its Democratic Republic of Congo diamond mining interest, for an initial consideration of US$56.2m. Gem Diamonds acquired the remaining 50.01% of KDC from Almesta.
